e-Voting is a web-based electronic voting platform that enables shareholders to engage in decision-making processes of companies they have invested in, irrespective of their geographical location. This feature is particularly valuable when companies require shareholder input for passing resolutions through methods such as Postal Ballots, Annual General Meetings, or Extraordinary General Meetings.
NSDL provides companies with the capability to host their Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs) virtually, leveraging their platforms to ensure accessibility and efficiency.
On April 1, 2022, NSDL introduced a cutting-edge Blockchain-based platform dedicated to Debenture Security & Covenant Monitoring. This innovative platform empowers issuers and debenture trustees to oversee the complete life cycle of corporate bonds and enhances monitoring capabilities related to security and covenants.
Indian company to facilitate the monitoring of the foreign investment limits of that company has appointed NSDL as Designated Depository. NSDL has developed a system for monitoring the foreign investment limits in listed Indian companies. The Issuer services portal for Listed companies to capture the information as advised by SEBI. Companies provided permissible Aggregate Limit for investment by FPIs/NRIs along with other details.
SEBI authorized NSDL to establish a centralized system for Foreign Portfolio Investor (FPI) registration and certification when the FPI regime commenced in 2014. This initiative led to the development of the FPI Monitor (www.fpi.nsdl.co.in) by NSDL, which serves as a central platform for FPI registration. Over time, this portal has seen significant adoption, with more than 10,000 FPIs registering to date.
SEBI FPI Regulations mandates that the purchase of equity shares of each company by a single foreign portfolio investor or an investor group shall be below 10% of the total issued capital of the company. Further, FPI Regulations requires that in case the same set of ultimate beneficial owner(s) invest through multiple entities, such entities shall be treated as part of same investor group and the investment limits of all such entities shall be clubbed at the investment limit as applicable to a single foreign portfolio investor.
Accordingly, at the time of finalization of basis of allotment during primary market issuances, Registrar and Transfer Agents (RTAs) shall obtain validation from Depositories for the foreign portfolio investors who have invested in the particular primary market issuance to ensure there is no breach of investment limit.
